FrameShaping LLC – Terms of Service

1. Acceptance of Terms

By accessing or using any services, coaching programs, consultations, courses, digital products, workshops, memberships, or related offerings provided by FrameShaping LLC (“we,” “us,” “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our services.

2. Services Provided

FrameShaping LLC offers leadership coaching, life enrichment coaching, keynote speaking, training workshops, online programs, digital courses, memberships, and consulting services.
Services may be delivered in person, virtually, or through digital platforms.

We reserve the right to modify, improve, or discontinue any service at any time.

3. Client Responsibilities

Clients agree to:

  • Provide accurate, up-to-date information when engaging with our services.

  • Participate fully and responsibly in coaching or training sessions.

  • Complete any action items, assessments, or materials assigned.

  • Maintain respectful communication and behavior.

FrameShaping LLC is not responsible for outcomes dependent on client participation or follow-through.

4. No Guarantees or Warranties

Coaching, consulting, and training results vary by individual and organization.
While FrameShaping LLC provides proven frameworks and professional guidance, we do not guarantee specific outcomes, results, or performance improvements.

All services are provided “as is” without warranties of any kind, express or implied.

5. Payments & Billing

Clients agree to pay all fees associated with services, programs, or products at the time of purchase unless otherwise agreed in writing.

  • All payments are final.

  • Payment plans, when offered, must be completed in full.

  • Failure to complete payments may result in service suspension or collection efforts.

We reserve the right to update pricing at any time.

6. Refund Policy

Because our services involve time, intellectual property, and digital access, all sales are final, including but not limited to:

  • Coaching sessions

  • Speaking engagements

  • Workshops and trainings

  • Digital products

  • Course access

  • Memberships and subscriptions

Refunds or credits may be issued only at the sole discretion of FrameShaping LLC.

7. Rescheduling & Cancellations

For Coaching or Consulting Sessions:

  • Sessions must be rescheduled at least 24 hours in advance.

  • Sessions canceled with less than 24 hours’ notice may be forfeited.

  • Repeated cancellations may impact program standing.

For Events, Workshops, or Speaking Engagements:

  • Deposits are non-refundable.

  • Changes must be requested in writing.

  • Additional fees may apply for date changes.

8. Intellectual Property

All materials, frameworks, tools, systems, course content, presentations, and documents provided by FrameShaping LLC are the exclusive property of FrameShaping LLC.

Clients may not:

  • Copy

  • Distribute

  • Share

  • Record

  • Reproduce

  • Sell

  • Modify

…any material without written consent.

Limited personal use license is granted for paid participants.

9. Confidentiality

We maintain confidentiality for all client conversations, materials, and sensitive information shared during coaching or consulting.

Clients agree to maintain confidentiality regarding proprietary content and group session discussions.

Exceptions include:

  • Legal requirements

  • Risk of harm to self or others

  • Explicit written permission

 

10. Code of Conduct

Clients and participants agree to uphold professionalism and respect in all interactions.
Harassment, discrimination, or disruptive behavior may result in removal from a program without refund.

11. Limitation of Liability

FrameShaping LLC is not liable for:

  • Decisions clients make

  • Business results

  • Personal outcomes

  • Financial loss

  • Emotional or psychological impact

 

Our services provide guidance and support, but clients assume full responsibility for their actions and decisions.

To the fullest extent permitted by law, our liability is limited to the amount paid for the service in question.

 

12. Digital Access & Technology

For online content:

  • Access requires an internet connection and compatible device.

  • We are not responsible for technical issues outside our control.

  • Course and membership access may be time-limited unless otherwise stated.

Unauthorized sharing of login credentials is prohibited.

 

13. Termination of Services

We may terminate or refuse services if:

  • Terms are violated

  • Payments are incomplete

  • Behavior is inappropriate or harmful

  • Misuse of intellectual property occurs

Termination does not remove the client’s obligation to complete payment plans.

14. Privacy Policy

We collect and use personal information in accordance with our Privacy Policy.
Client data is never sold or misused.

​

15. Governing Law

These Terms are governed by the laws of the State of Florida.
Any disputes must be resolved through mediation or arbitration prior to legal action.

16. Updates to Terms

FrameShaping LLC reserves the right to revise these Terms at any time. Continued use of services constitutes acceptance of updated Terms.
